Terms & Conditions
Last updated: 7 October 2026
Version: 1.0.0
1. Introduction and acceptance
1.1 These Terms and Conditions (“Terms“) govern your access to and use of the Corai Education Platform, including all associated websites, applications, APIs, and services (together, the “Services“).
1.2 The Services are a multi-tenant business-to-business learning platform. They are made available to organizations — schools, universities, corporate training programs, and other institutions (each an “Organization“) — and to the individuals those Organizations authorize to use the Services.
The Services are also made available directly on a business-to-consumer basis to: (i) individual students or learners, (ii) individual teachers or instructors, and (iii) parents or guardians, in each case acting independently and not through an Organization (collectively, “B2C Users”).
1.3 By creating an account, clicking “I agree” (or an equivalent control), signing an order form or subscription agreement, or otherwise accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
1.4 If you use the Services on behalf of an Organization, you represent that you are authorized to bind that Organization, and “you” refers to both you and that Organization.
2. Definitions
3. Accounts and eligibility
3.1 Provisioning. Accounts are typically provisioned by an Organization’s Administrator, by invitation, or through a self-service flow the Organization enables. You must provide accurate and complete information and keep it current.
3.2 Account security. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at [support@coraieducation.ai] of any unauthorized use. We support session revocation and other security controls but are not liable for loss arising from your failure to protect your credentials.
3.3 Minors. The Services may be used by minors (including children) where an Organization has established the appropriate lawful basis and, where required, parental or guardian consent. Where a Learner is a minor, guardianship controls and consent requirements apply as described in Section 4 and in the Privacy Policy. Organizations are responsible for ensuring they have the authority and consents necessary to enroll minors.
3.4 Authority of the Organization. Your Organization controls your access, role, and permissions and may suspend or remove your account. Disputes about access within an Organization are between you and that Organization.
4. Roles, permissions, and Organization control
4.1 The Services enforce a role- and permission-based access model. Your rights within the Services depend on the role(s) assigned to you (for example *platform admin*, *client admin*, *instructor*, *facilitator*, *manager*, *mentor*, *reviewer*, *learner*, or *guest*) and on the Organization’s configuration.
4.2 Administrators may configure Organization settings, including branding, terminology, localization, membership, groups and sub-organizations, integration settings, and — where applicable — their own supplemental terms and privacy links presented to their Users.
4.3 As between Corai and an Organization, the Organization is responsible for its Users’ use of the Services, for the lawfulness of the Organization Data it processes, and for the content it configures or publishes to its Users.
5. Acceptable use
5.1 You agree not to, and not to permit any User to:
(a) use the Services in violation of any applicable law or regulation; (b) upload, share, or transmit content that is unlawful, infringing, defamatory, harassing, hateful, or harmful to minors; (c) infringe any intellectual property, privacy, or other rights of any person; (d) attempt to gain unauthorized access to the Services, other tenants’ data, or any systems or networks; (e) probe, scan, or test the vulnerability of the Services except under a written authorization or a published security-testing policy; (f) interfere with or disrupt the integrity or performance of the Services, including via denial-of-service techniques or excessive automated requests; (g) reverse engineer, decompile, or attempt to derive source code except to the extent this restriction is prohibited by applicable law; (h) circumvent usage limits, access controls, or authentication; (i) use the Services to build a competing product or to benchmark for a competitor without our prior written consent; or (j) misuse AI-assisted features (Section 8), including attempts to extract other users’ data or to generate unlawful or harmful outputs.
5.2 We may investigate suspected violations and may suspend or terminate access to protect the Services, our users, or third parties.
6. Content and Intellectual property
6.1 Your and your Organization’s content. As between the parties, an Organization and its Users retain all rights they hold in the Organization Data and Content they create or upload. You grant Corai a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and adapt that content solely to provide, secure, and support the Services and as otherwise described in the Privacy Policy.
6.2 Corai‘s intellectual property. The Services, including their software, design system, look and feel, and trademarks (including “Corai”), are and remain the property of Corai and its licensors. Except for the rights expressly granted in these Terms, no rights are granted to you.
6.3 Publisher Content. Publisher Content is and shall remain the property of Dar Al Maarefand/or its licensors. Users are granted a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use Publisher Content solely through the Services and solely for the educational purposes authorized by the Organization through which the User has been granted access.
Except as expressly permitted under these Terms or with the prior written consent of Dar Al Maaref, no User or Organization may copy, reproduce, download, distribute, publish, modify, translate, adapt, sell, license, sublicense, commercially exploit, scrape, crawl, systematically extract, create datasets from, or otherwise use Publisher Content outside the Services.
No User or Organization may use Publisher Content, or permit Publisher Content to be used, for the training, fine-tuning, development, or improvement of any artificial intelligence or machine-learning model without the prior written consent of Dar Al Maaref.
Nothing in these Terms transfers or assigns to any User, Organization, or third party any ownership or other intellectual property rights in Publisher Content.
6.4 Feedback. If you provide feedback or suggestions, we may use them without restriction or obligation to you.
6.5 Third-party and stock content. The Services may surface third-party or stock media (for example, images from stock providers). Such content is subject to the applicable third party’s license terms, and you are responsible for using it within those terms.
7. Subscriptions, fees, and trials
7.1 Commercial terms. Access to paid features is governed by the order form, subscription plan, or written agreement between Corai and the Organization (“Order“). Fees, billing cycle, seat counts, and term are set out in the Order. In the event of a conflict between an Order and these Terms on commercial matters, the Order controls.
7.2 Payment. [Payment terms, currency, taxes, invoicing, and late-payment provisions to be completed. As of the effective date, the Platform does not integrate a third-party payment processor; billing is handled under the Order.]
7.3 Trials and beta features. Free trials and features designated as beta, preview, or evaluation are provided “as is”, may be modified or withdrawn at any time, and may be subject to additional terms.
8. AI-assisted features
8.1 The Services include AI-assisted features (for example, an AI tutor) that process your inputs — such as questions and answers — using third-party large language model providers to generate responses.
8.2 Use of AI features may be subject to a separate, granular consent (ai_processing). Where you decline or withdraw that consent, the relevant AI features are disabled for you.
8.3 AI-generated output may be inaccurate, incomplete, or unsuitable for a given purpose. You must not rely on AI output as professional, legal, medical, or academic advice, and you remain responsible for reviewing and validating it. Assessment, grading, and academic-integrity decisions remain the responsibility of the Organization and its authorized Users.
8.4 Details of AI subprocessors and data handling are described in the Privacy Policy and the subprocessor list.
9. Third-party services and integrations
9.1 The Services rely on and may interoperate with third-party services (including cloud infrastructure, email delivery, AI providers, and media providers). Your use of those integrations may be subject to the third party’s terms. We are not responsible for third-party services we do not control.
9.2 An Organization may enable integrations (for example, bring-your-own email sending domains or standards-based learning integrations). The Organization is responsible for its integration configuration and credentials.
10. Privacy and data protection
10.1 Our collection and use of personal data is described in the Privacy Policy privacy-policy.md, which is incorporated into these Terms by reference.
10.2 Controller / processor roles. For most personal data that an Organization’s Users generate in the course of learning and administration, the Organization is the data controller and Coraiacts as a data processor on the Organization’s behalf, under a data processing agreement (“DPA“). Corai acts as a controller for a limited set of data it needs to operate, secure, and improve the Services (for example, account and authentication records, security logs, and billing records). See the Privacy Policy for detail.
10.3 Where a DPA is in place between Corai and an Organization, that DPA governs the processing of personal data on the Organization’s behalf and prevails over these Terms to the extent of any conflict on data-protection matters.
11. Service availability, changes, and support
11.1 We aim to keep the Services available and performant but do not guarantee uninterrupted availability except as stated in an applicable service-level commitment in the Order.
11.2 We may modify, add, or discontinue features. Where a change materially and adversely affects a core feature of a paid subscription, we will use reasonable efforts to notify the affected Organization.
11.3 Support is provided as described in the Order or the then-current support policy.
12. Suspension and termination
12.1 By you / the Organization. You may stop using the Services at any time. Termination of a paid subscription is governed by the Order.
12.2 By us. We may suspend or terminate access, in whole or in part, if (a) you materially breach these Terms; (b) your use poses a security, legal, or integrity risk; (c) required by law; or (d) as permitted by the Order for non-payment.
12.3 Effect of termination. On termination, your right to access the Services ceases. Data export and deletion following termination are handled as described in the Privacy Policy, the DPA, and the Order. Provisions that by their nature should survive (including Sections 6, 13, 14, 15, and 17) survive termination.
13. Disclaimers
13.1 Except as expressly stated in an Order or a mandatory legal requirement, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
13.2 We do not warrant that the Services will be error-free or uninterrupted, that defects will be corrected, or that AI-assisted output will be accurate.
14. Limitation of liability
14.1 To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages.
14.2 To the maximum extent permitted by law, each party’s total aggregate liability arising out of or related to these Terms will not exceed [the amounts paid or payable by the Organization for the Services in the twelve (12) months preceding the event giving rise to the liability / another agreed cap].
14.3 Nothing in these Terms limits liability that cannot be limited under applicable law (for example, for death or personal injury caused by negligence, fraud, or willful misconduct).
15. Indemnification
15.1 You / the Organization agree to indemnify and hold harmless Corai from third-party claims arising from (a) Organization Data or Content you provide; (b) your violation of these Terms or applicable law; or (c) your infringement of a third party’s rights, except to the extent caused by Corai’s own breach or misconduct. [Reciprocal Corai IP-infringement indemnity to be completed in the Order, if applicable.]
16. Confidentiality
16.1 Each party may receive confidential information of the other. The receiving party will protect it with reasonable care, use it only to perform under these Terms or an Order, and disclose it only to those with a need to know who are bound by confidentiality obligations. This does not apply to information that is public, independently developed, or rightfully received without restriction.
17. Governing law and disputes
17.1 These Terms shall be governed by and construed in accordance with the laws and regulations applicable in the Abu Dhabi Global Market (ADGM), without regard to its conflict-of-laws principles.
17.2 The parties irrevocably submit to the exclusive jurisdiction of the courts of the Abu Dhabi Global Market (ADGM) in respect of any dispute arising out of or in connection with these Terms, provided that Corai may seek interim, conservatory or injunctive relief before any court of competent jurisdiction where necessary to protect its intellectual property, confidential information or other proprietary rights.
18. Changes to these Terms
18.1 We may update these Terms from time to time. When we do, we will update the version and effective date and, where the change is material, provide notice (for example, in-product notice or email) and, where required, request renewed acceptance. Continued use after an update takes effect constitutes acceptance of the updated Terms. Published versions and your acceptances are recorded in the Platform’s consent ledger.
19. General
19.1 Entire agreement. These Terms, together with the Privacy Policy, any DPA, and any Order, are the entire agreement between the parties on their subject matter.
19.2 Assignment. You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
19.3 Severability. If any provision is held unenforceable, the remaining provisions continue in effect.
19.4 No waiver. A failure to enforce a provision is not a waiver.
19.5 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
19.6 Notices. Legal notices to Corai should be sent to [legal@Coraieducation.ai]. Notices to you may be given in-product or to your account email.
19.7 Contact. Questions about these Terms: [support@Coraieducation.ai].
